Terms of Service

These Terms of Service ("Terms") define the services provided by Rooted Vitality, Inc. ("Rooted Vitality," "we," "us," "our," or "Company") and establish the rights and obligations of users and service providers who access our platform. These Terms work in conjunction with our Terms of Use and Privacy Policy to create a comprehensive legal agreement. By using any Rooted Vitality service, you agree to these Terms.

1. Service Overview and Description

1.1 What We Provide

Rooted Vitality provides an online platform that facilitates connections between independent holistic health practitioners and consumers seeking wellness services. Our services include:

  • A searchable directory of holistic health practitioners and wellness professionals
  • Practitioner profile creation and management tools
  • Wellness Request and connection services
  • Messaging and communication infrastructure between practitioners and clients
  • Educational articles and wellness resources
  • Community support tools and features
  • Optional CRM integration and third-party service connections

1.2 What We Do Not Provide

Rooted Vitality is not a healthcare provider and does not provide:

  • Medical diagnosis, treatment, or professional healthcare services
  • Practitioner licensing or credentialing services (practitioners are independently licensed)
  • Quality assurance or performance monitoring of practitioner services
  • Direct wellness or health services to end consumers
  • Malpractice insurance coverage for practitioners
  • Financial, tax, or legal advisory services

2. Client Service Terms

2.1 Service Availability

The Rooted Vitality platform is provided "as is" and on an "as available" basis. While we strive to maintain continuous service availability, we do not guarantee uninterrupted access. We may perform maintenance, updates, or make improvements to the platform at any time, with or without notice, which may result in temporary service interruptions or unavailability.

2.2 Client Responsibilities

As a client using our platform, you agree to:

  • Provide accurate, current, and complete information during registration and profile creation
  • Maintain the confidentiality of your account credentials
  • Promptly communicate with practitioners you connect with through our platform
  • Respect all practitioner terms, policies, and agreements
  • Comply with all applicable laws and regulations when using our services
  • Report any technical issues or platform problems to our support team

2.3 Client Use Limitations

Clients may not:

  • Use the platform to conduct business without authorization
  • Attempt to bypass payment systems or access restricted areas
  • Scrape, duplicate, or harvest practitioner information for external use
  • Harass, threaten, or abuse practitioners or other clients
  • Misrepresent their identity or intentions to practitioners
  • Share login credentials or allow others to use their account

3. Practitioner Service Terms

3.1 Membership and Access

Practitioners may access our platform through a membership subscription. Membership provides access to platform features, connection discovery services, profile management tools, and communication infrastructure. Specific membership tiers and features are described in your membership agreement and are subject to modification upon thirty (30) calendar days' notice.

3.2 Practitioner Responsibilities

As a practitioner using our platform, you agree to:

  • Maintain all required professional licenses, certifications, and credentials
  • Provide accurate, current, and truthful information on your practitioner profile
  • Comply with all federal, state, and local laws governing your profession
  • Maintain appropriate professional liability insurance
  • Communicate professionally and respectfully with all clients
  • Obtain informed consent before providing services
  • Maintain client confidentiality and privacy in accordance with applicable laws
  • Promptly report any technical issues affecting service delivery

3.3 Practitioner Code of Conduct

All practitioners agree to comply with our Practitioner Code of Conduct, which prohibits:

  • Misrepresentation of credentials, qualifications, or experience
  • Offering services outside the scope of your professional practice
  • Making medical claims or diagnoses
  • Discrimination based on protected characteristics
  • Inappropriate contact with clients outside professional boundaries
  • Requesting payment outside the platform's payment systems
  • Violating client privacy or confidentiality

3.4 Profile Management

Practitioners are solely responsible for creating, updating, and maintaining their profile information. You must promptly update any changes to your contact information, availability, specialties, pricing, or credentials. Inaccurate or outdated profile information may result in reduced platform visibility or service suspension.

3.5 Practitioner Use Limitations

Practitioners may not:

  • Create multiple accounts without express authorization
  • Transfer, sell, or delegate membership to another party
  • Use the platform to advertise services not provided through our system
  • Access or use the platform for commercial purposes other than delivering services
  • Bypass platform systems to communicate directly with clients to avoid platform fees
  • Use client data for purposes other than providing agreed-upon services

4. Service Fees and Payments

4.1 Fee Structure

Service fees for both practitioners and clients are described in our Pricing page and your service agreement. Fees are subject to change upon thirty (30) calendar days' prior written notice. Practitioners will be notified of any fee changes via email to the address associated with their account.

4.2 Payment Processing

All payments are processed through secure payment systems. By providing payment information, you authorize Rooted Vitality to charge your account for services rendered. You agree that all payment information provided is accurate and that you are authorized to make such charges.

4.3 Subscription Renewal

Subscription memberships automatically renew at the end of each billing period unless cancelled. You are responsible for monitoring your subscription status and canceling if you wish to discontinue service. Cancellation must be submitted before the renewal date to avoid charges for the next billing period.

4.4 Refund Policy

Our Refund Policy governs refund eligibility and procedures. Please refer to our Refund Policy for complete details regarding refund requests, eligibility requirements, and processing timeframes.

5. Service Interruptions and Availability

5.1 Planned Maintenance

We may perform scheduled maintenance on the platform during off-peak hours. We will make reasonable efforts to notify users of planned maintenance in advance, but do not guarantee such notice. We are not liable for any damages or losses resulting from planned or emergency maintenance.

5.2 Emergency Service Interruptions

In the event of technical failures, security incidents, or other emergencies, Rooted Vitality may suspend service immediately without notice to prevent harm to the platform, users, or practitioners. We will work to restore services as quickly as possible and will provide updates regarding service status.

5.3 No Service Level Guarantee

While we strive to maintain continuous service availability, we do not guarantee any specific uptime percentage or service level commitment. You acknowledge that the internet and online services are inherently subject to interruptions, delays, and other technical issues beyond our reasonable control.

6. Intellectual Property and Content Licenses

6.1 Platform Ownership

All intellectual property rights in the Rooted Vitality platform, including software, design, functionality, content, and materials, are owned by Rooted Vitality, Inc. or our licensors. You do not acquire ownership of any intellectual property through your use of our services.

6.2 User Content License

By uploading, posting, or submitting any content to the platform (including practitioner profiles, client reviews, messages, or other materials), you grant Rooted Vitality a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and distribute such content for purposes of operating and improving our platform and services.

6.3 Practitioner Materials

Practitioners may upload professional materials, credentials, certifications, and descriptions of services. You represent and warrant that you own or have appropriate rights to all materials uploaded and that such materials do not infringe any third-party intellectual property rights.

7. Limitation of Liability and Disclaimers

7.1 No Warranties

Rooted Vitality's platform and services are provided "as is" and "as available" without any warranties or representations, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

7.2 Disclaimer of Professional Advice

Rooted Vitality does not provide medical, legal, financial, or professional advice. Any information or resources provided on our platform are for educational purposes only. You must seek qualified professional advice before making any health, financial, or legal decisions.

7.3 Third-Party Content and Services

Rooted Vitality is not responsible for the accuracy, completeness, or quality of information provided by practitioners or third parties. The inclusion of a practitioner in our directory does not indicate our endorsement of their services or credentials. You are solely responsible for evaluating practitioners and determining whether their services meet your needs.

7.4 Limitation on Damages

Except to the extent prohibited by law, in no event shall Rooted Vitality, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of or inability to use our services, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

7.5 Aggregate Liability Cap

The maximum aggregate liability of Rooted Vitality for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you to Rooted Vitality in the twelve (12) months preceding the claim.

8. Indemnification

8.1 User Indemnification

You agree to indemnify, defend, and hold harmless Rooted Vitality, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms or any applicable law
  • Your use of the platform or services in a manner not expressly authorized
  • Your infringement of any third-party intellectual property rights
  • Any content you upload, post, or submit to the platform
  • Your interactions with other users or practitioners

9. Termination and Suspension

9.1 Termination by User

You may terminate your account and discontinue use of our services at any time by contacting our support team. Upon termination, you forfeit any unused portion of your subscription fees unless otherwise provided by our Refund Policy.

9.2 Termination by Rooted Vitality

Rooted Vitality may suspend, disable, or terminate your account or access to services at any time, with or without cause, and with or without notice if we determine that:

  • You have violated these Terms or our Acceptable Use Policy
  • You have engaged in fraudulent, illegal, or harmful activity
  • Your account poses a risk to platform security or other users
  • Your account has been inactive for an extended period

9.3 Effects of Termination

Upon termination or suspension of your account:

  • Your access to the platform immediately ceases
  • Your profile and associated data may be deleted or retained according to our Privacy Policy
  • Outstanding fees remain due and payable
  • Clauses intended to survive termination shall remain in effect

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and applicable federal law, without regard to conflicts of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the federal courts located in the applicable jurisdiction where Rooted Vitality is incorporated or where you reside.

10.2 Dispute Resolution Process

Before pursuing formal legal action, you agree to first contact Rooted Vitality to attempt informal resolution. Please contact our support team with detailed information about your dispute. We will work in good faith to resolve the matter within thirty (30) calendar days of receipt of your notice.

10.3 Arbitration

For disputes that cannot be resolved through informal negotiation, you and Rooted Vitality agree to binding arbitration. Claims shall be arbitrated before a single arbitrator in accordance with applicable arbitration rules. Arbitration shall take place in the jurisdiction where you reside or online, at your option. Either party may seek legal or equitable relief as permitted by law to prevent intellectual property infringement or misappropriation.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, Terms of Use, Refund Policy, and any other agreements between you and Rooted Vitality, constitute the entire agreement regarding your use of our services and supersede all prior discussions, understandings, and agreements.

11.2 Modifications to Terms

Rooted Vitality reserves the right to modify these Terms at any time. Material changes will be communicated via email at least thirty (30) calendar days prior to the effective date. Your continued use of our services after any modifications constitutes acceptance of the revised Terms.

11.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, shall be severed. The remaining provisions shall remain in full force and effect.

11.4 Waiver

The failure of Rooted Vitality to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Rooted Vitality.

11.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. Rooted Vitality may assign these Terms or any of its rights or obligations hereunder without restriction.

12. Acknowledgment

By accessing or using the Rooted Vitality platform and services, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them. If you do not agree to these Terms, do not access or use our platform or services.
