Informed Consent

This Informed Consent ("Consent") is entered into by and between Rooted Vitality, Inc., a Utah S-Corporation ("Company," "we," "us," or "our"), and the individual or entity accessing or using the Company's services ("User," "you," or "your"). By accessing, browsing, or using the Company's wellness directory platform and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by the terms of this Consent.

1. Nature and Scope of Services

The Company operates a holistic wellness platform that connects faith-based practitioners with consumers seeking wellness services. The Services include, but are not limited to:

  • Access to a directory of wellness practitioners offering various holistic services
  • Information about practitioner backgrounds, qualifications, and service offerings
  • Facilitation of communication and scheduling between Users and practitioners
  • Educational content related to holistic wellness and faith-based healing practices
  • Community features for Users to share experiences and support

You acknowledge and understand that the Company acts solely as an intermediary platform connecting Users with independent practitioners. The Company does not provide medical advice, diagnosis, treatment, or any healthcare services directly.

2. Not Medical Advice or Treatment

IMPORTANT DISCLAIMER: The Services are not intended to provide, and do not constitute, medical or healthcare advice, diagnosis, or treatment. The information and services available through the platform are for informational and educational purposes only.

You understand and agree that:

  • The Services are not a substitute for professional medical advice, diagnosis, or treatment from licensed healthcare providers
  • You should always seek the advice of a qualified healthcare provider with any questions regarding medical conditions
  • You should never disregard professional medical advice or delay seeking it because of information obtained through the Services
  • The Company does not endorse any specific tests, procedures, opinions, or other information mentioned on the platform
  • If you think you may have a medical emergency, call your doctor or emergency services immediately

3. Practitioner Qualifications and Independence

All practitioners listed on the platform are independent third parties who are not employees, agents, or representatives of the Company. You acknowledge that:

  • Practitioners are solely responsible for the services they provide to Users
  • The Company does not verify, warrant, or guarantee the qualifications, credentials, or quality of services provided by practitioners
  • You are responsible for independently verifying any practitioner's credentials and determining whether their services are appropriate for your needs
  • Practitioners may not be licensed healthcare providers, and their services may not be regulated by state or federal authorities
  • Any agreements, arrangements, or relationships you form with practitioners are solely between you and the practitioner

4. User Responsibilities and Acknowledgments

By using the Services, you represent, warrant, and agree that:

  • You are at least 18 years of age or have parental or guardian consent to use the Services
  • All information you provide to the Company and practitioners is accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update it as necessary
  • You understand that holistic and faith-based wellness practices may not be scientifically validated
  • You assume full responsibility for all risks associated with using the Services and engaging with practitioners
  • You will consult with licensed healthcare providers before making any decisions based on information obtained through the Services

5. Privacy and Confidentiality

The Company respects your privacy and handles your personal information in accordance with our Privacy Policy. You understand that:

  • Information you share through the Services may be accessible to practitioners and other Users as appropriate
  • The Company employs reasonable security measures but cannot guarantee absolute security of your information
  • Communications between you and practitioners through the platform may not be subject to healthcare privacy protections such as HIPAA
  • The Company may use anonymized and aggregated data for research, improvement, and marketing purposes

6. Health and Safety Considerations

You acknowledge and understand that:

  • Holistic wellness practices may involve physical activities, dietary recommendations, or spiritual practices that could pose health risks
  • You should disclose all relevant health conditions, medications, and concerns to practitioners before engaging in any services
  • You should discontinue any practice or service if you experience pain, discomfort, or adverse effects
  • Faith-based practices may involve religious or spiritual elements that may not align with your personal beliefs
  • Results from holistic wellness services vary greatly among individuals and are not guaranteed

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR ENGAGEMENT WITH PRACTITIONERS
  • THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
  • THE COMPANY IS NOT RESPONSIBLE FOR ANY ACTS OR OMISSIONS OF PRACTITIONERS, INCLUDING ANY INJURY, HARM, OR DAMAGES RESULTING FROM PRACTITIONER SERVICES
  • YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your engagement with practitioners
  • Your violation of this Consent or any applicable laws or regulations
  • Any false or misleading information you provide

9. Consent to Use Platform

By using the Services, you expressly consent to:

  • The collection, use, and disclosure of your information as described in the Privacy Policy
  • Electronic communications from the Company regarding your account and Services
  • The Company's use of cookies and similar technologies as described in the Privacy Policy
  • The terms and conditions set forth in the Company's Terms of Use

10. Modifications to Consent

The Company reserves the right to modify this Consent at any time. Material changes will be communicated to Users through the platform or via email. Your continued use of the Services after such modifications constitutes your acceptance of the updated Consent. If you do not agree to the modifications, you must discontinue use of the Services.

11. Governing Law and Jurisdiction

This Consent shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under or relating to this Consent shall be subject to the exclusive jurisdiction of the state and federal courts located in Utah County, Utah. You consent to personal jurisdiction in such courts and waive any objection based on inconvenient forum.

12. Severability

If any provision of this Consent is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from this Consent. The remaining provisions shall continue in full force and effect.

13. Entire Agreement

This Consent, together with the Company's Terms of Use and Privacy Policy, constitutes the entire agreement between you and the Company regarding the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.

14. No Waiver

The Company's failure to enforce any right or provision of this Consent shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of the Company.

16. Acknowledgment and Acceptance

BY CLICKING "I ACCEPT," CHECKING THE ACCEPTANCE BOX, OR OTHERWISE ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS INFORMED CONSENT IN ITS ENTIRETY, UNDERSTAND ITS CONTENTS, AND AGREE TO BE BOUND BY ITS TERMS. YOU FURTHER ACKNOWLEDGE THAT YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL COUNSEL REGARDING THIS CONSENT AND HAVE EITHER DONE SO OR VOLUNTARILY WAIVED SUCH OPPORTUNITY.
